1. Agreement to Terms

By accessing or using Mobius-X (“the Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Platform.

2. Description of Service

Mobius-X is a circular platform that connects waste producers, processors, carriers, and brokers. We provide:

• Waste operator directory and verification
• Duty of care documentation generation
• Carbon impact calculation
• Regulatory compliance tools
• Partner matching and network services
• Chain-of-custody tracking

3. Eligibility

To use Mobius-X, you must:

• Be at least 18 years old
• Represent a legitimate business entity
• Have authority to bind your organisation to these Terms
• Comply with all applicable waste regulations

4. Account Registration

4.1 Account Creation

• You must provide accurate, complete information
• You are responsible for maintaining account security
• You must notify us immediately of any unauthorised access
• One account per organization

4.2 Account Verification

We may verify your:

• Company registration details
• Waste carrier/broker/dealer registration
• Permit numbers and regulatory status
• Identity and authority to act

4.3 Account Suspension

We reserve the right to suspend or terminate accounts that:

• Violate these Terms
• Provide false information
• Engage in fraudulent activity
• Breach waste regulations

5. User Responsibilities

5.1 Regulatory Compliance

You are responsible for:

• Maintaining valid waste permits and registrations
• Complying with all applicable waste regulations
• Ensuring duty of care obligations are met
• Keeping your regulatory information up to date

5.2 Data Accuracy

You must:

• Provide accurate waste descriptions
• Use correct European Waste Catalogue (EWC) codes
• Report accurate weights and volumes
• Update information promptly when it changes

5.3 Prohibited Activities

You must NOT:

• Use the Platform for illegal waste activities
• Misrepresent your regulatory status
• Share your account credentials
• Attempt to access other users’ data
• Reverse engineer or scrape the Platform
• Use the Platform to harm others or the environment

6. Platform Services

6.1 Duty of Care Documentation

• We provide tools to generate duty of care documents
• You remain legally responsible for compliance
• Documents must be reviewed before use
• We are not liable for regulatory non-compliance

6.2 Carbon Calculations

• Carbon data uses Department for Energy Security and Net Zero (DESNZ) and WRAP (Waste and Resources Action Programme) methodologies
• Calculations are estimates based on available data
• Not a substitute for professional carbon accounting
• We do not guarantee accuracy for specific use cases

6.3 Operator Verification

• We verify data against public registers
• Verification status may change over time
• You must conduct your own due diligence
• We are not liable for partner actions

6.4 Data Sources

We use publicly available data from:

• Environment Agency (EA)
• Scottish Environment Protection Agency (SEPA), Natural Resources Wales (NRW), Northern Ireland Environment Agency (NIEA)
• Companies House
• Driver and Vehicle Licensing Agency (DVLA)

We do not guarantee completeness or real-time accuracy of third-party data.

7. Fees and Payment

7.1 Subscription Fees

• Fees are charged according to your selected plan
• Prices are displayed in British Pounds (GBP) and exclude VAT
• VAT is added at the applicable rate

7.2 Payment Terms

• Payment is due in advance
• We accept payment via Stripe
• Failed payments may result in service suspension

7.3 Refunds

• Refunds are provided at our discretion
• No refunds for partial billing periods
• Contact support for refund requests

7.4 Price Changes

• We may change prices with 30 days’ notice
• Existing subscriptions continue at current price until renewal

8. Intellectual Property

8.1 Our IP

The Platform, including:

• Software, code, and algorithms
• Design, layout, and user interface
• Logos, trademarks, and branding
• Documentation and content

8.2 Your Data

• You retain ownership of data you upload
• You grant us a license to use your data to provide services
• We may use anonymised, aggregated data for analytics

8.3 Restrictions

You may not:

• Copy, modify, or distribute our software
• Remove copyright or proprietary notices
• Use our trademarks without permission

9. Limitation of Liability

9.1 Service Availability

• We aim for high availability but do not guarantee 100% uptime
• We are not liable for service interruptions
• Scheduled maintenance will be communicated in advance

9.2 Data Accuracy

• We use reasonable efforts to ensure data accuracy
• We are not liable for errors in third-party data
• You must verify critical information independently

9.3 Regulatory Compliance

• You are solely responsible for regulatory compliance
• The Platform is a tool, not legal advice
• We are not liable for fines, penalties, or legal action

9.4 Maximum Liability

Our total liability to you is limited to:

• The fees paid by you in the 12 months prior to the claim
• £1,000 (whichever is greater)

9.5 Exclusions

We are not liable for:

• Indirect, consequential, or punitive damages
• Loss of profits, revenue, or business
• Loss of data (maintain your own backups)
• Third-party actions or omissions

10. Indemnification

You agree to indemnify and hold harmless Mobius-X Ltd from claims arising from:

• Your use of the Platform
• Your breach of these Terms
• Your violation of laws or regulations
• Your waste management activities

11. Termination

11.1 By You

• You may cancel your subscription at any time
• Cancellation takes effect at the end of the billing period
• No refunds for early cancellation

11.2 By Us

We may terminate your account if you:

• Breach these Terms
• Engage in illegal activity
• Fail to pay fees
• Pose a security risk

11.3 Effect of Termination

• Access to the Platform will cease
• You may export your data within 30 days
• We may delete your data after 90 days

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of England and Wales.

12.2 Jurisdiction

Disputes will be resolved in the courts of England and Wales.

12.3 Informal Resolution

Before legal action, contact us to resolve disputes informally.

13. Changes to Terms

We may update these Terms from time to time. We will:

• Notify you of material changes via email
• Post updated Terms on the Platform
• Give you 30 days to object before changes take effect

Continued use after changes constitutes acceptance.

14. General Provisions

14.1 Entire Agreement

These Terms constitute the entire agreement between you and Mobius-X Ltd.

14.2 Severability

If any provision is unenforceable, the remaining provisions remain in effect.

14.3 Waiver

Failure to enforce a right does not waive that right.

14.4 Assignment

You may not assign these Terms without our consent.

14.5 Force Majeure

We are not liable for delays caused by events beyond our control.
